FAQs
Why should I buy a company and not set up a new one?
The decision of buying a company instead of setting it up is generally motivated by one of the following reasons:
- Urgency: Need to start activities or carry out a transaction immediately, not being able to wait for all the formalities needed to set up a company
- Being anonymous: The founding partners or shareholders that constitute a company are publicly registered, as well as those who acquire new shares or social participations through a capital increase. However, the deed of purchase-sale of shares or social participations is non-registrable in the Mercantile Registry, and the identity of the new partners or shareholders will not be shown in the company’s registration form. The sole proprietorships are an exception, since the identity of the sole partner or shareholder must be informed.
- Comfort: Buying a company only requires the granting of a public deed of sale. We could even organize it in such a way that you do not have to appear at the notary. However, forming a company is a long process that lasts between four and six weeks. It entails carrying out banking procedures for the disbursement of the social capital, obtaining a Tax Identification Number, granting the deed of incorporation and registering it in the Mercantile Registry.
Who can buy a company?
Any person of legal age, national or foreign, natural or legal person, who is not legally incapacitated to do so. The non-resident individuals and legal entities in Spain must provide the NIE.
How long will it take to acquire a company and start developing an activity?
Immediately. If you have all the required documentation, you can have one of our companies within hours. You will be able to start your activity immediately after the company is acquired, since all our companies comply with the requirements needed to operate. The only document to be signed and presented before the corresponding authorities is Form 036. This procedure can be done from the moment the sale is formalized, or even before if you provide us with the required information. Once the Form 036 is presented, your company will be able to issue invoices.
How can I trust the inactivity of the company and the absence of debts or liabilities?

- On the date of the company transfer, the outgoing administrator signs and delivers a certificate of inactivity and absence of debts and liabilities
- In the deed of sale of the company, the selling partners guarantee the inactivity of the company and the absence of debts or liabilities to the purchasing partner
Do I need to go anywhere in order to acquire my company?
No. Under normal circumstances you should go to the notary to sign all the required documentation to formalize the sale of the company. However, if for any reason you cannot attend the appointment, we can still transfer the company without your presence.

Do I need to designate a new organ of administration?
Yes. Every corporation should have an organ of administration. This could encompass the following:
- A sole administrator
- Several administrators (any of them could act individually)
- Joint administrators (they act jointly)
- A board of directors (collegiate body composed of a minimum of three people)
It is not compulsory that the administrator or the members of the board of directors are partners or shareholders in the company. Please ask us about our administrator service.
What changes can be done to my company?
You can make any changes you wish such us change of social purpose, registered office, company name, organ of administration, social capital, etc. We can make these changes for you the moment you buy the company, or later if you prefer. We can provide the services of registered office and administrator.
Do I need to pay the social capital of the acquired company upfront?
There is no need, since it was disbursed when the company was formed and was deposited in a bank account. You will pay the social capital (3,000€) once the sale is formalized.
Can my company have an operating bank account?
Yes. Your company can come with an operating bank account including funds if you wish.
